Terms of Service

These Terms of Service ("Terms") govern access to and use of the Tallium AI website, applications and services provided by Tallium Technologies FZ-LLC ("Tallium AI", "we", "us"). By creating an account, connecting an integration or using the service, you agree to these Terms on behalf of yourself and the organisation you represent.
1. The service
Tallium AI is a multi-tenant, subscription based business platform. It includes Tallium AI Accounting for accounting, invoicing, tax, point of sale, inventory and order management, and Tallium AI Marketing for social, ads, analytics, SEO and content, under a single account.
We improve and change features over time. We will not materially reduce the core functionality of your plan without giving you reasonable notice.
2. Accounts and eligibility
- You must be at least 18 years old and able to enter a binding contract, and you must be authorised to act for the organisation you register.
- You are responsible for the accuracy of the information in your account, for keeping credentials secure, and for all activity under your account.
- You are responsible for the users you invite to your workspace and for their compliance with these Terms.
- Tell us promptly at support@tallium.online if you suspect unauthorised access.
3. Acceptable use
You agree not to:
- Use the service for unlawful, fraudulent or deceptive purposes, or to store or transmit unlawful content.
- Attempt to breach or circumvent the security of the service, access another customer's data, or probe or test the system without our written permission.
- Reverse engineer, resell or provide the service to a third party except as expressly permitted, or use it to build a competing product.
- Upload malware, or interfere with or place unreasonable load on the service or its infrastructure.
- Use the service or any connected integration to send unsolicited bulk messages in breach of applicable law.
We may suspend access without notice where continued use presents a security, legal or availability risk, and we will restore access once the risk is resolved.
4. Subscriptions, billing and taxes
- Tallium AI is a paid service. Your subscription starts when you sign up, and you are charged from that point for the business units you select. There is no free trial period.
- Fees are billed monthly or annually in advance in USD and renew automatically for the same period until cancelled.
- Prices may change. We will give at least 30 days notice before a price change affects your next renewal.
- Fees exclude taxes and duties, which are added where applicable.
- Late or failed payment may lead to suspension after notice.
- Cancellations and refunds are governed by the Refund & Cancellation Policy, which forms part of these Terms.
5. Your data and your responsibilities
- You retain all ownership of the data you and your users put into Tallium AI. You grant us a limited licence to host, process, transmit and display that data solely to provide and support the service.
- You are responsible for having the right to store the data you upload, including personal data about your own customers and staff, and for meeting your own obligations to those people.
- You are responsible for the figures you submit to tax and government authorities. Tallium AI prepares returns and reports from the data you enter, and does not provide regulated accounting, tax or legal advice.
- You can export your data at any time from within the product.
- Our handling of personal data is described in the Privacy Policy. A Data Processing Addendum is available on request.
6. Third-party integrations
Tallium AI can connect to third-party services at your choice, including Google Calendar and Google Meet, marketplaces, couriers, banks and payment providers. Those services are operated by third parties, not by Tallium AI, and your use of them is governed by their own terms and privacy policies.
- By connecting an integration you authorise Tallium AI to access and exchange data with that service on your behalf, only to the extent needed for the features you enable.
- You are responsible for holding a valid account with the third-party service and for the permissions you grant.
- You can disconnect an integration at any time from Settings, and revoke access from the third party directly.
- We are not responsible for a third-party service changing, restricting or discontinuing its API, and such a change may alter or remove the related Tallium AI feature.
- What the Google Calendar integration accesses, and how to revoke it, is set out in section 7 of the Privacy Policy and on the Google Calendar and Meet integration page.
7. Intellectual property
Tallium AI, its software, design, documentation and brand remain the property of Tallium Technologies FZ-LLC and its licensors. These Terms grant you a non-exclusive, non-transferable right to use the service during your subscription, and no other rights. Feedback you send us may be used to improve the service without obligation to you.
8. Availability, warranties and liability
- We work to keep Tallium AI highly available, but we do not warrant uninterrupted or error-free operation. Planned maintenance is announced in advance where practical.
- Except as expressly stated in these Terms, the service is provided as is, without warranties of any kind to the maximum extent permitted by law.
- Neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue, goodwill or data, except where that exclusion is not permitted by law.
- To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the fees you paid to Tallium AI in the 12 months before the event giving rise to the claim.
- Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.
9. Indemnity
You will indemnify us against third-party claims arising from your unlawful use of the service, your breach of these Terms, or your infringement of a third party's rights through the data you put into Tallium AI.
10. Term and termination
- You may cancel at any time from your account. Cancellation stops future renewals, and your plan stays active until the end of the current billing period.
- We may suspend or terminate an account that materially breaches these Terms, after notice and a reasonable chance to fix the breach where the breach can be fixed.
- On termination, your data is retained for 30 days so you can export it, then deleted as described in the Privacy Policy.
11. Changes to these Terms
We may update these Terms as the product and the law change. The date at the top of this page shows the last update. We will give notice of material changes in the product or by email before they take effect, and continuing to use Tallium AI after that date means you accept the updated Terms.
12. General
- These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the entire agreement between us for the service.
- If a provision is found unenforceable, the rest stays in force.
- You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or sale of assets.
- Failure to enforce a provision is not a waiver of it.
13. Governing law
These Terms are governed by the laws of the United Arab Emirates, and the courts of Dubai have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer rights you have where you live.
